These Terms of Service (“Terms”) govern your access to pocketmsp.com, the PocketMSP application, and our AI assistance, community, peer group, and mentorship services (the “Services”). They form an agreement between you and PocketMSP (“PocketMSP,” “we,” “us,” or “our”). By creating an account, purchasing a membership, or using the Services after being presented with these Terms, you agree to them. If you do not agree, do not use the Services.
Questions about these Terms, billing, cancellations, or refunds? Email contact@pocketmsp.com. Our Privacy Policy explains how we handle personal information. Apple’s standard app license applies separately as described in Apple App Store terms.
1. Eligibility and accounts
The Services are intended for adult business users. You must be at least 18 and legally able to enter this agreement. If you act for an organization, you represent that you have authority to bind it; “you” includes that organization where applicable.
Provide accurate account and billing information, keep it current, protect your credentials, and notify us of suspected unauthorized access. Each paid seat is for its assigned user; do not share credentials to avoid purchasing required seats. You are responsible for activity you authorize through your account.
2. Membership and digital delivery
PocketMSP offers access to PocketAdvisor, community forums, business integrations, and, depending on your plan, PocketCircle peer groups and PocketMentor mentorship. The plan description and order confirmation identify the features, billing period, and any usage or AI credit limits included in your purchase. See our pricing page for website memberships; App Store offers may differ.
The Services are delivered digitally through your account; no physical goods are shipped and no shipping fees apply. Standard digital access is made available after account setup and successful payment confirmation or trial activation. If access is delayed, contact us with your receipt. Growth and Elevate require matching and onboarding before activation; we confirm placement and the applicable activation and billing arrangements with you. Mentoring and meetings require scheduling and depend on availability. We do not promise a particular peer, mentor, integration, or business outcome unless expressly agreed in writing.
3. Prices, billing, and automatic renewal
Website prices are stated in United States dollars (USD), per user, per month unless your order states otherwise. App Store prices and currency are shown by Apple for your storefront. The purchase screen identifies the amount, billing interval, included features, and any applicable taxes or introductory offer before you authorize payment. Taxes may be added where required.
Subscriptions renew automatically for successive periods of the same length unless canceled before renewal. By completing a subscription purchase, you authorize the applicable recurring charges at the price disclosed at checkout. One-time purchases do not renew unless expressly described as subscriptions.
Direct purchases are processed through Stripe or the payment provider identified at checkout. Apple purchases are charged to your Apple Account. You must use a payment method you are authorized to use. Failed payments may interrupt access. Avoid starting a second subscription through another store while an existing membership remains active; cancellation through one provider does not cancel a subscription with another.
We will notify you before a change to recurring prices takes effect and obtain consent where required. You may cancel before the change applies. Plan changes, proration, and their effective dates are disclosed when you make the change; Apple determines these matters for Apple subscriptions under its rules.
4. Free trials and promotional offers
The website’s seven-day Build trial request does not authorize a charge and is not automatically converted to a paid membership. A paid upgrade requires a separate purchase. Trial access begins when activated, rather than when you submit an inquiry.
Other trial or introductory offers, including those offered through a payment provider or the App Store, are governed by the eligibility, duration, post-offer price, renewal, and cancellation terms shown before enrollment. If an offer expressly converts to a paid subscription, cancel before its stated deadline to avoid the charge. Any unused portion of an Apple free trial may be forfeited when you purchase a subscription, as applicable under Apple’s terms.
5. Cancellation
Direct subscriptions: cancel through your billing portal where available, or email contact@pocketmsp.com from your account email before your next renewal. Identify the membership you want to cancel; do not include full card details. Cancellation stops future renewals. We honor an email cancellation based on when we receive it, even if we process it later, and will correct a renewal charged after a timely request.
Apple subscriptions: cancel in your Apple Account subscription settings or through the app’s Apple subscription management option. Cancel at least 24 hours before the current period ends to avoid renewal, as stated on the Apple purchase screen. PocketMSP cannot cancel an Apple subscription on your behalf.
After cancellation, access generally continues until the end of the paid period, unless a refund, a legal requirement, or termination for misuse ends it earlier. Deleting the app, signing out, disconnecting an integration, or requesting account deletion does not itself cancel a subscription. Cancel with the provider that bills you. For account or data deletion, see the Privacy Policy.
6. Refund policy
First direct payment: you may request a full refund of your first subscription payment to PocketMSP within seven calendar days after that payment. This window begins with the first successful paid charge, including after a free trial, and applies once per customer. Email contact@pocketmsp.com within that window with your account email and receipt or transaction reference. A qualifying first-payment refund also cancels that subscription and ends its paid access.
After the seven-day window, renewals and unused portions of a billing period are not refundable, except for billing errors, a refund expressly offered by us, failure to supply services where a refund is legally required, or other rights provided by applicable law. A plan upgrade or renewal does not restart the first-payment refund window. Contact us promptly about duplicate, incorrect, or unauthorized charges so we can investigate.
We review direct refund requests within five business days. Once approved, we initiate the refund to the original payment method within five business days; your bank or payment provider may take additional time to post it. These handling periods do not extend any shorter legal deadline. Because the Services are digital, no physical return is required.
Apple purchases: Apple manages refund requests and eligibility under its policies and applicable law. Request a refund through Apple’s Report a Problem service. Our seven-day direct-payment offer does not apply to Apple-billed purchases. Nothing in these Terms limits mandatory consumer, refund, or withdrawal rights.
7. Apple App Store terms
The PocketMSP iOS application is licensed under Apple’s Licensed Application End User License Agreement (standard EULA). These Terms supplement that license for PocketMSP’s Services and do not replace it with a custom EULA. If there is a conflict about the app license, the standard EULA and applicable Apple usage rules control.
PocketMSP provides the application and its content and is responsible for app support and maintenance. Apple is not a party to these service Terms and has no obligation to provide support or maintenance for PocketMSP. Contact us about technical issues, service complaints, and claims concerning the app. Apple’s responsibility for purchases and any applicable warranty refund is determined by its terms and applicable law.
Use the app only on compatible Apple devices you own or control, as permitted by Apple’s usage rules. Honor applicable third-party terms and export restrictions. You must not use the Services in violation of applicable sanctions or export laws. The standard EULA governs Apple’s and its subsidiaries’ applicable third-party beneficiary rights.
Apple determines App Store purchase confirmation, renewal, subscription management, and refund procedures. Use the app’s Restore Purchases option with the same Apple Account and associated PocketMSP account to restore an eligible purchase. Apple is not responsible for PocketMSP’s AI responses, peer discussions, or mentorship services.
8. Acceptable use and community conduct
Use the Services lawfully and respectfully. Do not:
- Upload unlawful, infringing, deceptive, abusive, discriminatory, sexually exploitative, or threatening material; harass others; impersonate another person; or distribute spam or malware.
- Access another person’s account or systems without authority, bypass security or usage limits, disrupt the Services, or use integrations without the required permissions.
- Resell access, copy or reverse engineer protected software except where law permits, or remove ownership notices.
- Disclose another member’s confidential information, record private sessions without permission, or share peer group discussions outside the group without the participants’ authorization.
- Use peer groups to coordinate unlawful pricing, market allocation, bid rigging, or other anticompetitive activity.
Members retain responsibility for what they post and share. Report objectionable content, abuse, or infringement to contact@pocketmsp.com, identifying the content and concern. We may investigate, remove content, restrict participation, or suspend users to enforce these Terms. Confidentiality rules reduce risk but cannot guarantee that other participants will keep information confidential.
9. Your content and our intellectual property
You retain your rights in content you submit. You grant PocketMSP a limited, nonexclusive license to host, store, transmit, reproduce, and process that content as needed to deliver and secure the Services, generate requested AI responses, and share content with recipients you authorize, as described in our Privacy Policy. You represent that you have the rights and permissions needed for that use. This license does not transfer ownership of your content to us.
PocketMSP and its licensors retain rights in our software, branding, designs, and service materials. Subject to these Terms and your membership, we grant you limited access to use the Services for your internal business purposes. Other participants’ content remains theirs. AI output may be similar to output generated for others; we do not promise exclusivity or that every output is eligible for intellectual property protection.
10. AI, business guidance, and integrations
PocketAdvisor uses third-party AI platforms, including OpenRouter and models from Anthropic, OpenAI, Google, and Meta. AI responses can be inaccurate, incomplete, outdated, or inappropriate. Review outputs and verify facts before acting. Do not rely on AI output alone for consequential business decisions.
AI responses, peer feedback, and mentorship are general business information, not legal, tax, investment, accounting, or other regulated professional advice. They do not establish a professional adviser or fiduciary relationship. You remain responsible for business decisions and obtaining qualified advice where needed. Revenue, profitability, and other outcomes are not guaranteed.
You control which business integrations to authorize and must have permission to access and process connected data. Third-party systems and AI providers have their own terms, availability, and data practices. Features may be affected by provider outages or changes. Our Privacy Policy describes AI processing and connected data. Agreeing to these Terms does not replace any separate consent required for personal data sharing.
11. Suspension and termination
You may stop using the Services and cancel as described above. We may restrict access for nonpayment, material violations, security risks, or legal requirements. Where practical and appropriate, we will notify you and allow you to resolve the issue; serious abuse or urgent risks may require immediate action.
If we permanently discontinue a paid service before the end of your paid period for reasons unrelated to your breach, we will provide a proportionate refund for undelivered direct-billed service. Apple-billed refunds follow Apple’s process and applicable law. Suspension does not remove mandatory refund rights. Data retention and deletion follow our Privacy Policy. Provisions that by their nature need to survive termination continue to apply.
12. Warranties and limits of liability
We aim to provide reliable Services, but do not warrant uninterrupted or error-free operation, accuracy of all content, or a particular business result. To the extent permitted by law, the Services are provided as available without implied warranties of merchantability, fitness for a particular purpose, or noninfringement. Express commitments in your order and mandatory legal guarantees remain applicable.
To the extent permitted by law, neither party is liable under these Terms for indirect or consequential loss, including lost profits or business opportunities. PocketMSP’s total liability arising from the Services is limited to the fees you paid PocketMSP for the affected Services during the 12 months before the event giving rise to the claim.
These exclusions and limits do not apply to fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, or any liability that applicable law prohibits limiting. They do not limit your mandatory consumer rights, our stated refund obligations, or remedies that cannot legally be excluded.
13. Changes and general terms
We may update the Services and these Terms. We will post the revised Terms with an updated date and give advance notice of material changes where required. Changes apply prospectively; they do not remove accrued rights. If a change requires your agreement, we will obtain it. If you do not accept a material change, you may stop using the Services and cancel future renewals.
These Terms, your accepted order, and any separate written service agreement govern your membership. A specifically agreed written service provision controls over a conflicting general provision here, subject to mandatory law and Apple’s applicable license rules. If a provision is unenforceable, the remainder continues to apply. A failure to enforce a provision is not a waiver. Nothing here requires mandatory arbitration or waives rights that cannot lawfully be waived.
14. Contact and disputes
For service questions, cancellation, refunds, complaints, or other notices, contact PocketMSP at contact@pocketmsp.com or use our contact form. Include your account email and enough detail for us to investigate, without passwords or full payment card details.
Please contact us first so we can try to resolve a dispute informally. This does not prevent you from using a payment provider’s dispute process, contacting a regulator, or pursuing remedies available under applicable law, and does not suspend legal filing deadlines. Applicable law determines jurisdiction and any nonwaivable rights.
